Terms of Service for 360 Marketing Strategy

By registering for the 360 Marketing Strategy service (“Service”) or any associated services provided by 360MarketingStrategy.Com and/or its partners (“360 Marketing Strategy”), you consent to abide by these terms and conditions (“Terms of Service”). The Services provided by 360 Marketing Strategy under this agreement encompass a variety of tools and services designed to assist you in developing and managing a marketing strategy (“Marketing Strategy”), marketing campaigns (“Marketing Campaign”), or both. Any enhancements or new features added to the existing Service will also fall under these Terms of Service. The most current version of the Terms of Service can always be reviewed at https://360marketingstrategy.com/terms. 360 Marketing Strategy holds the right to modify and update the Terms of Service by posting such changes on the 360 Marketing Strategy website. It’s recommended to periodically review the Terms of Service for any modifications that might affect you.

Before you can use the services of 360 Marketing Strategy, you must read, understand, and agree to these Terms of Service.

For a full understanding of your legal obligations, please thoroughly read the “Terms of Service.” By utilizing any services from 360 Marketing Strategy, you are agreeing to these terms. Remember to check back occasionally for any updates.

1. Account Terms

1.1) You must be at least 18 years old or the age of majority in your jurisdiction to use this Service.

1.2) To utilize the Services, you must register as a 360 Marketing Strategy Client and create an account by providing your legal name, current address, phone number, a valid email address, and other necessary information. 360 Marketing Strategy reserves the right to refuse or cancel an Account for any reason at our discretion.

1.3) The primary method of communication will be through the email address you provide.

1.4) You are responsible for maintaining the confidentiality of your account passwords. 360 Marketing Strategy is not liable for any loss or damage arising from your failure to secure your account information.

1.5) You are accountable for all activities and content, such as photos, images, videos, graphics, written content, audio, code, and data associated with your Account.

1.6) Violation of any terms in this agreement may lead to immediate termination of your services by 360 Marketing Strategy at our sole discretion.

2. Account Activation & Ownership

2.1) The individual who registers for the Service will be recognized as the Account Owner and will be authorized to use any account provided by us in connection with the Service.

If you are registering on behalf of your employer, they will be considered the Account Owner, and you represent that you have the authority to bind your employer to these Terms of Service.

2.2) Marketing Campaign fees will be automatically set upon purchase and, if on a monthly plan, will continue automatically as long as the Account is active.

2.3) Marketing management fees will also renew automatically each month as long as the Account remains active. It is your responsibility to cancel auto-renewal if desired.

3. General Conditions

You must agree to all terms and conditions in these Terms of Service to become a 360 Marketing Strategy user.

3.1) Support is provided exclusively to paying Account holders via email, phone, or in-person meetings through designated offices or account managers.

3.2) Changes to the scope of work agreed upon in the user contract will not be made without written approval from the client. Adjustments to the project scope will be billed according to the Standard Fee Payment Schedule.

3.3) We commit to adhering to project timelines as outlined in the proposals. However, clients are responsible for timely feedback and content provision, which can affect schedules. 360 Marketing Strategy is not liable for delays resulting from client feedback or content delays.

3.4) Marketing Services begin upon project initiation and agreement approval, adhering to the Standard Fee Payment Schedule.

3.5) Clients agree to the revision process specified in their scope of work. Final payment or launching marketing campaigns signifies acceptance of the deliverable. Any further revisions will be billed hourly.

3.6) Clients are responsible for providing content in a suitable format and for proofreading all provided content.

3.7) Technical Support exceeding 1 hour within a 30-day period will be billed at our standard hourly rate.

3.8) We do not guarantee specific outcomes for organic or paid marketing campaigns. Clients acknowledge and will not hold 360 Marketing Strategy responsible for performance results.

3.9) The Terms of Service are governed by New Jersey and United States laws, excluding conflict of laws principles. Disputes will be exclusively resolved in New Jersey courts. The United Nations Convention on Contracts for the International Sale of Goods is excluded.

3.10) Amendments to the Terms of Service will be posted on our website and are effective upon posting. Continued use of the Services after amendments signifies acceptance. If you disagree with the changes, you should cease using the Service.

3.11) The Service must not be used for illegal purposes, nor should it violate any laws in your jurisdiction, including copyright laws.

3.12) Reproduction, duplication, sale, resale, or exploitation of any part of the Service without express written permission is prohibited.

3.13) You may not buy search engine keywords or domain names that use or mimic 360 Marketing Strategy trademarks without permission.

3.14) Your Materials may be transferred unencrypted and may undergo necessary modifications to conform to technical network or device requirements.

3.15) SSL Certificates are recommended for compliance and best practices. We are not responsible for the refusal to install SSL certificates or the resulting impacts.

4. 360 Marketing Strategy Rights

4.1) We reserve the right to modify or terminate the Service for any reason without notice.

4.2) Service can be refused to anyone at any time for any reason.

4.3) We may remove Materials or suspend/terminate Accounts if they violate our Terms of Service at our discretion.

4.4) Abuse of 360 Marketing Strategy staff will result in immediate account termination.

4.5) We do not pre-screen Materials but may refuse or remove them from the Service at our discretion.

4.6) We may provide services to your competitors without promising exclusivity in any market segment. Our employees and contractors may also be clients and may compete with you without using your confidential information.

4.7) In disputes over Account ownership, we may request documentation to determine or confirm ownership. If ownership is unclear, we may temporarily disable the Account until the dispute is resolved.

5. Limitation of Liability

5.1) 360 Marketing Strategy is not liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from the use or inability to use the service.

5.2) Our liability for any damages related to your website, marketing, our services, or these Terms of Service is limited to lost profits or special, incidental, or consequential damages. You agree to indemnify us against any claims, including attorney’s fees, arising from your use of the Service or violation of any law or third-party rights.

5.3) The Service is provided “as is” and “as available,” without warranty of any kind, express or implied.

5.4) We do not guarantee uninterrupted, timely, secure, or error-free service.

5.5) No warranty is made regarding the accuracy or reliability of Service results.

5.6) We do not guarantee that the quality of any products, services, information, or other materials obtained through the Service will meet your expectations, or that any errors in the Service will be corrected.

6. Waiver and Complete Agreement

6.1) Failure by 360 Marketing Strategy to enforce any right or provision of the Terms of Service does not constitute a waiver of such right or provision. These Terms of Service, including any referenced documents, constitute the entire agreement between you and 360 Marketing Strategy, superseding any prior agreements.

7. Intellectual Property and Customer Content

7.1) We do not claim ownership of the Materials you provide to the Service. All materials you upload remain yours. You can request the deletion of your Account and associated Materials by contacting support@360marketingstrategy.com.

7.2) By uploading Materials, you permit other internet users to view your publicly posted Materials; allow 360 Marketing Strategy to store and display your Materials; and acknowledge that 360 Marketing Strategy may review but is not obligated to review all Materials.

7.3) You maintain ownership of the Materials you upload, but by making your site public, you allow others to view your publicly posted Materials. You are responsible for ensuring your Materials comply with applicable laws and regulations.

7.4) We will not disclose your confidential information to third parties, except as necessary to provide our services. Confidential information includes any Materials or information provided by you that is not publicly known. Confidential information does not include information that is already public, becomes public through no fault of ours, we received from someone other than you without breach of confidentiality, or we are required by law to disclose.

8. Payment of Fees

8.1) As a 360 Marketing Strategy client, you agree to pay all applicable Fees for your project, ongoing services, and any other fees, including third-party license fees necessary to maintain your website/platform, referred to as “Fees.” You also agree to specific payment terms outlined in your project scope.

8.2) A valid credit card must be kept on file to pay all incurred and recurring Fees. 360 Marketing Strategy will charge the authorized credit card for applicable Fees until the Services are terminated and all outstanding Fees are paid. All Fees and charges are in U.S. dollars.

8.3) License Fees, Paid Advertisement Fees, Marketing Management Fees, and any recurring subscription fees are paid in advance and billed annually or monthly, as requested. Project Fees and other Fees may be charged at 360 Marketing Strategy’s discretion. We reserve the right to adjust fees based on service cost increases, with total adjustments not exceeding 10% per year of the subscription value. All outstanding Fees will be charged on each Billing Date and invoiced to the Account Owner via email. Billing issues must be addressed within fifteen days, after which 360 Marketing Strategy may suspend Services.

8.4) 360 Marketing Strategy adheres to a strict no-refund policy for any completed or prepaid work, including marketing strategy, management, campaigns, design, development, and account management services.

8.5) Failure to pay Fees within the specified period may result in a finance charge on past due amounts at the lesser of 1% per month (12% per year) or the maximum legal rate. You agree to cover all costs and expenses incurred by 360 Marketing Strategy to collect any overdue amounts, including reasonable attorney’s fees and legal expenses, bankruptcy proceedings, and appeals. Court costs and other legal fees will also be your responsibility, as allowed by law.

9. Cancellation and Termination

9.1) You may cancel your Account at any time by emailing support@360marketingstrategy.com and following the provided instructions.

9.2) Upon termination, 360 Marketing Strategy will cease providing Services, and you will no longer have access to your Account. You will not be entitled to refunds of any Fees, and any outstanding balance owed to 360 Marketing Strategy must be paid immediately. Your website and/or advertisements will not be taken offline.

9.3) Following cancellation, it is your responsibility to manage your paid advertisements, social platforms, domain, and website hosting.

9.4) After termination, you will receive one final invoice for any outstanding Fees. Once paid, you will not be charged again.

9.5) 360 Marketing Strategy reserves the right to modify or terminate the Service or your Account at any time without notice.

9.6) We may suspend or terminate your Account if we suspect fraudulent activity associated with your use of the Service.

10. Modifications to the Service and Prices

10.1) Service prices may change with 30 days’ notice from 360 Marketing Strategy. Changes will be posted on our website or the terms of service page.

10.2) We reserve the right to modify or discontinue the Service (or any part thereof) with or without notice.

10.3) 360 Marketing Strategy is not liable for any Service modifications, price changes, suspension, or discontinuation.

11. Third Party Services

11.1) You also agree to terms applicable to third-party services provided by 360 Marketing Strategy partners or other third parties.

11.2) We may offer third-party software, apps, products, services, or links for your use. These Third Party Services are provided as a convenience, and your use of them is solely between you and the Third Party Provider. Use of Third Party Services is at your own risk and discretion. We do not provide warranties for Third Party Services and are not responsible or liable for them. The availability of Third Party Services does not imply endorsement by 360 Marketing Strategy.

11.3) We recommend seeking specialist advice before using Third Party Services. If you enable a Third Party Service, you allow the Third Party Provider access to your data as required for integration with the Services. 360 Marketing Strategy is not responsible for any data disclosure, modification, or deletion by a Third Party Service or Provider.

11.4) Google is a Third Party Service used with the Services. Your use of the Service is subject to Google’s Acceptable Use Policy.

11.5) 360 Marketing Strategy is not liable for any damages resulting from Third Party Services or your relationship with a Third Party Provider. You agree to indemnify us against any claims arising from your use of a Third Party Service.

12. DMCA Notice and Takedown Procedure

12.1) 360 Marketing Strategy respects intellectual property rights and expects its users to do the same. We respond to all notices of alleged copyright infringement. If you believe a 360 Marketing Strategy user is infringing your intellectual property, you can send a DMCA Notice to our designated agent. We may remove or disable access to the alleged infringing material upon receipt of a DMCA Notice. The accused user can submit a counter notification if they object to the complaint. The original complainant has 14 business days to seek a court order restraining the infringing activity, or we may restore the material.

13. General Data Protection Regulation (GDPR)

13.1) The GDPR imposes new data controller and processor obligations. As a 360 Marketing Strategy customer, you control your customers’ data. The GDPR applies if you offer goods or services in Europe, regardless of your or your business’s location. 360 Marketing Strategy follows your instructions on data handling. Compliance with the GDPR is your responsibility. Consult a local lawyer familiar with data protection laws for specific legal advice.

14. Americans with Disabilities Act (ADA) Compliance

14.1) Compliance with the 2010 ADA Standards for Accessible Design is required for new construction and alterations. As a 360 Marketing Strategy customer, you control the accessibility of your website. Compliance with the ADA is your responsibility. Consult an attorney for legal advice on ADA obligations.

15. Supported Website Browsers

15.1) 360 Marketing Strategy supports the latest versions of major browsers but does not guarantee compatibility with all versions.

15.2) We strive to meet modern web standards and ensure compatibility with the latest browser versions. 360 Marketing Strategy does not support Microsoft Internet Explorer (IE). IE11 is outdated and insecure, replaced by Microsoft Edge. Due to lack of support and development challenges, we do not test in IE11.

16. Mutual Respect Between 360 Marketing Strategy and Clients

16.1) Respectful, polite, and professional communication is expected between clients and 360 Marketing Strategy team members. Disrespectful behavior can result in project termination.

16.2) Examples of behavior leading to termination include abusive language, threats, untruthful comments, or personal attacks.

16.3) 360 Marketing Strategy team members are committed to professionalism and expect the same from clients.
